Lease Agreement

The Response was later documented in a Lease between the City and the Foundation. The table of expenditures listed at Section 8 of the Response survived into the lease but absent the line item for the bridge. Instead there is this provision in the lease:

"3.4 Railroad Bridge Because Tenant proposed to renovate the Railroad Bridge in its response to Landlord's RFP and because Landlord accepted Tenant's proposal as part of the publicly advertised competitive bid process, it is the intention of the parties that Tenant will enter into a separate agreement with Landlord with respect to the Railroad Bridge."

Thre is no such 'separate agreement'.

At recital E, page 1, note the omission of "Rock Island Railroad Bridge" from the list of inclusions in spite of the rest of the sentence being lifted practically word for word from the Foundation's Response.

At recital G, page 1 note the insertion of "..provide a portion of the cost.." in spite of the Response containing "..build and pay for...".

  • How did this material change occur from the Response to the Lease?
  • What happened to this substantial portion of the park concept?
  • How could the City allow the Foundation to avoid providing this enhancement to its "City in a Park" concept for all these years?
